I'd imagine Panarin doesn't waive his NMC. He did a lot to force his way to New York to start with. If I am right in that assumption, the Rangers would say no to the trade as well because Panarin's next contract at 34 years old will likely be a smaller, more workable deal.
For the other trade, of course the Leafs say no. Goodrow may have scored 6 goals in the playoffs but he still only scored 4 in the regular season. Guy scored more in 16 games than the 80 games before it, of course him repeating that is not a reasonable expectation and no team would pay a sum like this with the expectation he might.
