Us Ducks fans would be more than happy than to trade you Grant for a 3rd but no interest in Muzzin

Rebuilding teams like Anaheim aren't in the market for expensive veterans like Jake Muzzin unless there's a payoff.

I like a deal that's out of the usual "box" involving Kerfoot or Holl or Mrazek (or all of the above)! Nice! (and thank you!!)

Seattle IS looking for younger players to help fill out its new AHL roster, but with so many options to acquire minor leaguers, I think Francis would counter by declining the 3 players Toronto is offering and dropping the Nashville 2nd Rounder. (I'd use the Carolina / Nashville trade from last years draft as a benchmark, where the Preds moved up to 27 OA by trading 40 and 51) If that didn't cut it, maybe throw in a 4th of 5th Rounder, but not three 2nds. JMO

So . . . .
To TOR: 35, 58 & 117(?) To SEA: 25 OA

Do you think TOR would accept, decline, or make a counter offer?

I think the point of the Seattle deal that the OP made was to re acquire the leafs 2023 2nd for the purpose of the offersheet to Oettinger. So it would need to be a counter with that included.
