i dont think Dallas gets enough back, and why would they want to trade away their 1st line C. unless theyre unwilling to pay him a new contract

Dallas has more than enough money to re-sign Seguin, and he wants to stay in Dallas. Why would they trade him?

It obviously is only if they get the feeling he may go the Tavares route and leave that they take offers. I think this is a pretty fair offer in terms of return given SJ has no assurance of him re-signing.

Dallas gets Hertl (24 year old with top line potential and second line 45-50 point per season floor), Ryan (25 year old top 4 LHD that played all season with Burns and would be great fit for Klingberg), Gambrell (2016 2nd rounder that played 3 years for new Stars HC Jim Montgomery at U Denver and is likely to be a 2/3 center in a year), and also get a 1st and a 2nd rounder. Given the return on ROR yesterday, this seems fair. Stars get 5 valuable assets without having to take back any bad contracts like Buffalo did. This would balance and deepen the Dallas lineup a lot and give the Sharks the top line center that they have been searching for to take over for Thornton.
