What part of Despres being on LTIR and maybe never going to play again do you not understand, So why would the Devils trade for him then.

I'm just going to assume that the intent here is to reduce cap hit. If this is the case, I think these trades are fair, assuming that the third round pick in the first trade is removed. Ducks are basically getting two AHL players from the Devils, in exchange for them eating up Despres' cap hit for the next few years. I would remove the third rounder because of his unlikeliness to return.
