It’s the same contract one just has size & more finishing ability that I think would work well for the Leafs system

Call NYR after the playoffs. Probably will be forced to hand him to you... But for right now they need him badly.

Rangers certainly consider in the off-season but his skill set is very useful for a deep run this year. This offer is also not intriguing but moving the money is. Maybe Goodrow for a 3rd is what NYR look to do in the off-season if Toronto is interested and can fit him cap wise.

I think this is more likely if there is any interest at all. The Leafs should prioritize signing guys like Bunting, ROR, Samsonov, Kampf and Acciari, who are either capable of filling the same role as Goodrow or have more important roles. Once, they figure out their cap structure more, depending on resigning guys and future extensions (Matthews, Nylander, Sandin, Liljegren, etc...), then they may look to trade for Goodrow. If they do it now, they may shoot themselves in the foot for a lateral move.

He would definitely be more useful to the Rangers too at this point over Kerfoot.

Also makes the most sense for NYR, because the got Goodrow for playoffs, and given the cap NYR won't be as competitive next year (hence trading him hurts them less). Meaning that Goodrow will be the most likely cap casualty next year unless they can move Trouba somehow (he wanting to move is the bigger hurdle in my mind) . Losing Reaves and Blais NYR also lost its Toughness. They desperately need him or someone like him for less money.
