So Dallas currently owns Sharp's UFA rights. Let's assume for simplicity that all teams offer a 1 year contract and that Dallas does not trade his rights away. This is the scenario where you negotiate in free agency instead of the 48 hour window.

Let's say Dallas's bid is a $4 million 1 yr contract. They also announce that they have intention of keeping the player if they win the bidding.
Say the Blue Jackets offer 4.2 million 1 yr, and the Canadiens offer 4.4 million 1 yr.
Lets say Vegas (you) offers 4.3 million for 1 yr.
In this scenario, the Blue Jackets are eliminated from getting sharp since every non-home team or Vegas gets only one bid, and Columbus's bid was not 10% more than the AAV of Dallas's bid.
Montreal's bid get's eliminated as well because even though they offered more money than Vegas did and they met the 10% threshold above Dallas's offer, Vegas went above the 5% mark greater than the home team's bid.
As a result only Dallas's bid and Vegas's bid remain.
Dallas is allowed to match your bid. Dallas matches at 4.3 million 1 yr.
However, Vegas gets one counter-bid as well. Thus, you can counter at 4.5 million for 1 yr.
Dallas can either counter this again, or withdraw. We'll assume for this exercise that Dallas is unwilling to go above 4.3 million for 1 yr, and thus Vegas wins Sharp. This also DOES NOT COUNT towards the players you picked for expansion. So you can take one player who's exposed from Dallas, and on top of that sign Sharp too.

The only thing I would say is that once I make my counter-bid, the team remaining (Dallas) can either accept it or withdraw it , rather than being about to up the ante.

This is where it's tough to do that though because so many teams griped about "UFA's being worthless" since it seemed too easy to just throw money at a UFA and win them away from home squad. Remember that if the 48 hour window existed, even if it's just you and the home squad, the home squad would've been allowed to counter offers there too, AND it would've counted as your expansion pick. Otherwise, do you like what is proposed? We can definitely try and fix the parts you're concerned about.
